Introduction
These Terms of Service (“Terms”) govern your use of hometownreputation.com (the “Site”) and any services offered by Hometown Reputation (“Hometown Reputation,” “we,” “us,” or “our”), including the free growth plan request and any paid marketing, technology, or reputation management services you purchase (the “Services”). By using the Site, requesting a growth plan, or purchasing Services, you agree to these Terms. If you don’t agree, please don’t use the Site or Services.
Eligibility
You must be at least 18 years old and have the authority to bind the business you represent to use the Site or purchase Services. By using the Site or Services, you confirm both of these are true.
Description of Services
Hometown Reputation offers local marketing and reputation management services, which may include (depending on what you’ve purchased): website design, creation, and maintenance; AI-powered chatbot and voice agent tools; CRM and workflow automation; business listing management; review generation and management; local SEO and “near me” search optimization; paid advertising management (including Google and Facebook/Meta campaigns); and call/lead tracking and analytics.
Services are billed under one or more of the following models, depending on what you’ve selected: a flat monthly subscription, a one-time setup or project fee, metered/usage-based charges (for example, per call minute, per SMS, or per tracked lead), or result-based fees tied to ad spend or performance. The specific services, features, and pricing you’ve selected are set out in your proposal, order form, or invoice, not repeated here.
Free Growth Plan
Requesting a free growth plan is informational only. It reflects recommendations based on the information available to us at the time and does not create a client relationship, and neither you nor Hometown Reputation is obligated to purchase or provide paid Services as a result.
Fees and Billing
Setup or project fees are one-time charges due before or at the start of work. Monthly subscription fees are billed in advance each billing cycle. Metered/usage-based charges (such as call minutes, SMS, or tracked leads) are billed based on actual usage during the billing period. Result-based fees (such as ad campaign management) are calculated according to the structure described in your proposal or order form.
You authorize us to charge your payment method on file (via Stripe or PayPal) for all fees as they become due.
Billing Term and Renewal
Unless your order form says otherwise, paid Services begin with an initial term of 6 months. After the initial term, your Services automatically renew on a month-to-month basis until cancelled in accordance with the “Cancellation and Termination” section below.
Cancellation and Termination
You may cancel your Services at any time by providing 30 days’ written notice (email is fine); cancellation takes effect at the end of your current billing period, and you remain responsible for fees already incurred.
We may terminate or decline to renew your Services with 30 days’ notice for any reason, or immediately if you fail to pay fees when due, breach these Terms, or misuse the Site or Services.
Late Payments
Invoices are due upon receipt unless your order form states otherwise. If payment isn’t received within 7 days of the due date, a late fee of 1.5% of the overdue balance per month (or $25, whichever is greater) will apply, plus an additional $25 for each week the balance remains unpaid after that, and we may pause Services until your account is current.
No Refunds
All fees are final once work has begun; we don’t offer refunds for setup fees, monthly subscriptions, metered usage, or result-based fees already incurred. The only exception is if we cancel your Services first, in which case we’ll refund any fees you’ve prepaid for Services not yet delivered.
Client Responsibilities and Portal Access
If we provide you with access to a client portal or any password-protected area, you’re responsible for keeping your login credentials confidential and for all activity under your account, and you agree to provide accurate, current information about your business.
Many of our Services depend on your timely cooperation — for example, providing access to your Google Business Profile, website, or social accounts, and responding to requests for feedback or approval. Delays on your end may delay what we’re able to deliver, and we’re not responsible for missed timelines caused by that delay.
Ownership of Deliverables and Licensed Technology
Once you’ve paid in full for a website, custom content, or other creative deliverable we’ve built specifically for you, you own it.
The software, platforms, and technology we use to deliver ongoing Services — including chatbot and voice agent technology, CRM systems, tracking and analytics tools, and our own methods and templates — remain the property of Hometown Reputation or our technology partners. You have a license to use these tools only while your subscription is active; that access ends if your Services are cancelled or terminated.
Wherever practical, advertising accounts (such as Google Ads or Meta) are set up under your own business’s accounts, so you retain your ad history and audience data even if you stop working with us.
No Guaranteed Outcomes
Marketing performance depends on many factors outside any one company’s control. Estimates and projections are not guarantees of rankings, leads, customers, revenue, return on investment, or other outcomes.
Third-Party Services and Platforms
Some Services are delivered in part through third-party platforms and technology partners (for example, Google, Meta, and our telephony, CRM, and AI technology providers). Those platforms’ own terms, uptime, and policies apply and are outside our control; we’re not responsible for outages, policy changes, or account actions taken by those third parties, though we’ll use reasonable care in selecting and managing the partners we work with.
Limitation of Liability
To the fullest extent permitted by law, Hometown Reputation’s total liability for any claim arising from the Site or Services is limited to the fees you paid us in the 3 months before the claim arose. We’re not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunity, even if we’ve been advised they were possible.
Disputes over metered or usage-based charges are handled as billing corrections based on actual usage records, not as liability claims.
Indemnification
You agree to indemnify and hold Hometown Reputation harmless from claims, damages, or expenses arising from content or materials you provide to us, your use of the Site or Services in violation of these Terms, or your business practices.
Intellectual Property
The Site’s original branding, copy, layout, and materials are protected by applicable intellectual property laws. You may not reproduce them for commercial use without permission.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.
Any dispute arising from these Terms or the Services will be resolved through binding individual arbitration administered by the American Arbitration Association, rather than in court, except that either party may bring a qualifying claim in small claims court instead. Arbitration will be on an individual basis only — you and Hometown Reputation each waive any right to bring or participate in a class or representative action. Any court proceeding not subject to arbitration will take place in Mercer County, New Jersey.
Availability and Changes
We may update, suspend, or change parts of the Site. To the extent allowed by law, the Site is provided without warranties of uninterrupted availability.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we’ll update the effective date above and, where appropriate, notify you by email or through a notice on the Site. Continuing to use the Site or Services after an update means you accept the revised Terms.
